Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Phero mobile application and related services (collectively, the “Service”) provided by Stylist on Standby, Inc., d/b/a Phero (“Phero,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. By using the Service, you represent that you meet this requirement and that you have the authority to agree to these Terms.

2. Service Description

Phero is a personal styling and dating companion platform that:

  • Allows users (“Clients”) to create profiles, upload photos, and share style preferences.
  • Connects Clients with professional stylists (“Stylists”) for paid video consultations and related services.
  • Provides an AI-powered assistant (“Kate”) that helps with date planning, venue discovery, outfit and style advice, and dating profile optimization.
  • Enables venue search and discovery using third-party data sources.

We may modify, suspend, or discontinue any part of the Service at any time without liability, subject to applicable law.

3. Accounts and Authentication

3.1 Account Creation

To use certain features, you must create an account and provide accurate, current, and complete information. You agree to keep your information updated.

3.2 Authentication

We use Firebase and third-party sign-in providers (such as Apple Sign In, Google Sign In, and phone number verification) to authenticate users. You agree to comply with those providers' terms and conditions.

3.3 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use or suspected breach of security.

3.4 Account Deletion

You may request deletion of your account at any time through the app's Settings screen or by contacting us at contact@pheroapp.com. Upon account deletion, your profile, content, and associated data will be removed in accordance with our Privacy Policy.

4. User Conduct

You agree to use the Service only for lawful purposes and in accordance with these Terms. You will not:

  • Use the Service in any way that violates applicable law or the rights of others.
  • Harass, threaten, or abuse any user or Stylist.
  • Post or transmit content that is illegal, obscene, defamatory, hateful, infringing, or otherwise objectionable.
  • Use the Service to distribute spam or unsolicited communications.
  • Attempt to impersonate any person or entity.
  • Interfere with or disrupt the Service or its security.
  • Record or share video sessions without the express consent of all participants and all required consents under applicable law.
  • Attempt to reverse-engineer, manipulate, or abuse the AI assistant or any automated features.
  • Use the Service to solicit, promote, or facilitate escort services, sexual services, or any other adult services.
  • Use the Service for any commercial purpose, including promoting third-party businesses or services, without our written consent.

We may investigate and take appropriate action (including account suspension or termination) for any violation of these Terms.

5. AI-Powered Features

5.1 Nature of AI Advice

Kate, our AI assistant, provides suggestions, recommendations, and advice for informational and entertainment purposes only. AI-generated content — including date ideas, venue recommendations, outfit advice, and dating profile suggestions — may be inaccurate, incomplete, or unsuitable for your specific circumstances. You are solely responsible for your decisions and actions based on AI-generated content.

5.2 No Professional Advice

AI-generated content does not constitute professional advice of any kind (including but not limited to financial, legal, medical, or psychological advice). We do not guarantee the accuracy, reliability, or suitability of any AI-generated recommendation.

5.3 Third-Party AI Processing

AI features are powered by third-party services (including Anthropic and Google). Your messages and uploaded content may be processed by these providers to generate responses. See our Privacy Policy for details on data handling.

6. Stylists and Client Interactions

6.1 Independent Providers

Stylists are independent providers and are not employees, agents, or partners of Phero. We do not control or supervise Stylists' work. We do not guarantee any particular result, outcome, or level of quality from any Stylist.

6.2 No Professional Guarantees

Consultations and styling advice are for informational and personal use only. You remain responsible for your own clothing, purchases, and appearances. Phero does not guarantee that any recommendations will meet your expectations.

6.3 Safety and Conduct

You are solely responsible for your interactions with other users and Stylists, both on and off the Service. If you use venue recommendations or date planning features to arrange in-person meetings, exercise caution and good judgment. Consider meeting in public places, informing someone you trust of your plans, and following local safety guidance. We are not liable for the conduct of any user or Stylist on or off the Service.

7. Subscriptions, Payments, and Fees

7.1 Subscriptions

Certain features of the Service (including Kate AI) require an active subscription (“Phero Pro”). Subscriptions are billed on a recurring basis (monthly or annually) through the Apple App Store. By subscribing, you authorize recurring charges to your selected payment method. Payment will be charged to your Apple ID account at confirmation of purchase.

7.2 Auto-Renewal

Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period. Your account will be charged for renewal within 24 hours prior to the end of the current period at the rate of the selected plan.

7.3 Managing Subscriptions

You may manage or cancel your subscription at any time through your Apple ID account settings (Settings > Apple ID > Subscriptions). Cancellation takes effect at the end of the current billing period — you retain access to subscription features until then. No prorated refunds are issued for unused portions of a billing period.

7.4 Stylist Session Payments

Paid consultations and services may be purchased through the Service. Payments for stylist sessions are processed by third-party payment processors (e.g., Stripe). By making a purchase, you agree to their terms and authorize charges to your selected payment method.

7.5 Fees and Pricing

Prices, fees, and any applicable taxes will be disclosed before you confirm a booking or purchase. We may change our pricing and fees at any time, but changes will not apply to subscriptions during an active billing period or bookings already confirmed.

7.6 Cancellations and Refunds

Cancellation and refund terms are governed by our Refund & Cancellation Policy, available in the app. For subscriptions purchased through the Apple App Store, Apple's refund policies also apply.

8. Intellectual Property

8.1 Our Rights

The Service, including all content, software, designs, trademarks, logos, and other materials provided by us, is owned by or licensed to Phero and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use.

8.2 Your Content

“User Content” means any content you upload, submit, post, or otherwise make available through the Service.

By providing User Content, you:

  • Represent and warrant that you own or have the necessary rights to share that content and that it does not infringe any third-party rights.
  • Grant Phero a worldwide, non-exclusive, royalty-free, sublicensable license to use, host, store, reproduce, modify, display, and perform your User Content in connection with operating and improving the Service.

8.3 AI-Generated Content

Content generated by our AI assistant is provided for your personal use. We do not claim ownership of AI-generated content provided to you, but we retain the right to use aggregated, anonymized usage data to improve the Service.

9. Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and share your information. By using the Service, you consent to our data practices as described in the Privacy Policy.

10. Disclaimers

The Service and all content, advice, or information provided through the Service (including by Stylists and AI features) are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express or implied.

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that AI-generated content will be accurate or suitable for any particular purpose.

11. Limitation of Liability

To the fullest extent permitted by law:

  • Phero and its officers, directors, employees, contractors, and affiliates will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or any loss of profits, revenues, data, or goodwill.
  • Our total liability to you for all claims arising out of or relating to the Service will not exceed the greater of (a) the amounts you paid to us during the 3 months prior to the event giving rise to the liability, or (b) one hundred U.S. dollars (US $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Phero and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your User Content, your violation of these Terms, or your infringement of any third-party rights.

13. Termination

We may suspend or terminate your access to the Service at any time and for any reason, including if we believe you have violated these Terms. You may stop using the Service and request account deletion at any time. Upon termination, your right to use the Service will immediately cease.

14. Governing Law

These Terms and any disputes arising out of or relating to them or the Service are governed by the laws of the State of California, United States, without regard to its conflict of laws principles.

15. Dispute Resolution

You and Phero agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally within 30 days of written notice will be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. Arbitration will be conducted in San Francisco County, California, or at another mutually agreed location. For claims under $10,000, arbitration will be conducted on the basis of written submissions unless either party requests an in-person hearing.

Each party will bear its own arbitration costs and attorneys' fees, except that Phero will pay AAA filing and administration fees for claims under $10,000 if you are unable to afford them.

CLASS ACTION WAIVER: You and Phero agree that each may bring claims only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

You may opt out of arbitration by sending written notice to contact@pheroapp.com within 30 days after you first accept these Terms.

16. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will provide notice by updating the “Last Updated” date and, where appropriate, through in-app notification. Your continued use of the Service after the updated Terms become effective means you accept the changes.
